These Terms of Service (“Terms”) govern your use of the website, services, and engagements provided by TECHSIMPS ENTERPRISE LIMITED (“TECHSIMPS”, “we”, “our”, “us”). By accessing this website or booking an engagement, you agree to these Terms.

1. Acceptance of terms

By accessing or using our website, the client portal, or any engagement we deliver, you confirm that you accept these Terms and that you have authority to bind any organisation on whose behalf you are acting.

2. Use of the service

You are responsible for the accuracy of information you provide and for keeping your account credentials secure.
You agree to use our website lawfully, not to interfere with its operation, and not to attempt to access systems or data you are not authorised to access.
You will not redistribute, resell, or sub-license content from our website without written permission.

3. Orders, engagements, and payment

Prices on the website are starting estimates. The final scope, deliverables, and fee for any engagement are confirmed in a written proposal that supersedes the website listing.
We accept payment in NGN (default) and USD via TransactPay or by direct bank transfer where agreed in writing.
Applicable taxes (such as Nigerian VAT at the prevailing rate) are added to fees unless explicitly stated otherwise.
Late payment may attract interest at the prevailing CBN rate plus 2% per annum, calculated daily, and may suspend ongoing work.

4. Intellectual property

Subject to full payment, deliverables produced specifically for you under an engagement are assigned to you. We retain rights in our background IP, frameworks, templates, and any third-party components we license. The website itself, its content, and our trademarks remain the property of TECHSIMPS or our licensors.

5. Refunds and cancellations

Cancellations and refunds are governed by our Refund Policy.

6. Limitation of liability

To the maximum extent permitted by Nigerian law, our aggregate liability for any claim arising out of or in connection with an engagement is limited to the fees paid by you for that engagement in the 12 months immediately preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, revenue, or data. Nothing in these Terms limits liability that cannot lawfully be limited.

7. Confidentiality

Each party will protect the other's confidential information with at least the same standard of care it uses for its own confidential information, and use it only for the purposes of the engagement. Confidentiality obligations survive termination for five (5) years.

8. Changes to terms

We may update these Terms from time to time. We'll update the “Last updated” date above and, where the change is material, give you reasonable advance notice.

9. Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes are subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, save that we may seek injunctive relief in any competent jurisdiction to protect our intellectual property or confidential information.
